Ndiaye, who led TP Mazembe to the 2010 FIFA Club World Cup finals, will take over from Tarek Hadj Adlane, who has been acting as caretaker manager for the club following the resignation of Abdelhak Benchikha at the end of January.
The 69-year-old helped TP Mazembe lift the CAF Champions League title in 2010 and reach the FIFA Club World Cup final in the same year where they lost 3-0 to Italian Serie A side, Inter Milan.
The former Al Hilal Omdurman coach recently left his role at TP Mazembe after strings of unimpressive performances with the Congolese giants.
USM Alger won group A of the CAF Confederation Cup with a goalless draw against second-placed OC Safi at the 5 July 1962 Stadium in Algiers on Saturday night and they will discover their opponent for the quarterfinals on Tuesday.
USMA currently sit eighth on the Algerian Ligue Professionnelle 1 standings 27 points and four outstanding games to clear.
